Company Limited by Guarantee - Social Enterprise Articles (Single-Tier)
These articles of association are for an asset locked social enterprise that is for registering a Company Limited by Guarantee. These articles are designed for single tier companies, where membership and directors are the same people who will be making all the decisions. The single tier company is a straightforward way of making decisions and is designed for social enterprises that do not require a second tier or separate membership (such as community-led organisations or sports clubs). These articles are not deisgned to be a charity.

These articles have the following characteristics: -
Asset lock/not distribution of profit clauses
There is space for the objects to be drafted (we can offer this an additional service)
Single Tier (directors are members)
Directors are appointed when needed and based on skills and experience
Directors are automatically terminated for various reasons.
There is no rotation of directors (clauses would require to be added and these can be provided to you for a small charge)
Directors may also be employees
There are no AGM, general meetings are called for members decisions
Written resolutions for members decisions are outlined.
